1. Who We Are & What This Covers

This website and newsletter are operated by SMB-excel ("we," "us," or "our"). These Terms of Service and Privacy Policy (together, the "Terms") govern your use of our website, our email newsletter, and the free tools we publish and distribute — including Claude Skills, n8n workflows, scripts, scrapers, and templates (collectively, the "Tools," and together with the website and newsletter, the "Services").

By using any part of the Services, you agree to these Terms. If you don't agree, don't use them. If you're acting for a company, you confirm you have authority to bind it, and "you" includes that company. You must be at least 18 to use the Services.

The Services are currently provided free of charge. We may in the future introduce paid tools, consulting, or related offerings, whether under the SMB-excel name or a separate brand; any such offering will be governed by separate terms presented to you at that time, and nothing in these Terms obligates us to keep any part of the Services free.

3. The Free Tools — Use At Your Own Risk

This is the most important section on the page. Read it before you download or run anything.

We publish Claude Skills, n8n workflows, scripts, scrapers, and similar tools and give them away at no charge. They are shared for educational and informational purposes only — to demonstrate techniques and help people learn. They are not a product, not a service, and not supported.

Scrapers & data-collection tools — extra warning

Some Tools scrape websites or collect data from third-party sources. These carry real legal risk, and that risk is yours, not ours.

If you use a scraper or data-collection Tool, you alone are responsible for ensuring your use is lawful. That includes complying with the terms of service, robots files, and access rules of every site or source you target; with applicable laws on computer access, copyright, database rights, contract, and data protection and privacy; and with rate limits and acceptable-use rules. Scraping certain sites, or certain data, can breach a contract or a law. We provide these Tools to demonstrate technique only. We do not endorse scraping any particular target, and we accept no liability for how, where, or against whom you use them. If you are unsure whether a particular use is permitted, consult a lawyer before you run it.

4. Content Is Not Professional Advice

Our newsletter, website, and Tools deliver information, analysis, and opinion about business topics. None of it is legal, financial, accounting, tax, investment, or other professional advice, and using the Services does not make us your advisor or fiduciary. We aim for accuracy but don't warrant that any content is complete, current, or error-free; markets and laws change, and content reflects our view as of its date. Business and acquisition decisions carry real risk — do your own diligence and consult a qualified professional who knows your situation before you act. You use our content at your own risk.

5. Acceptable Use

By using the Services, you agree not to, and not to help anyone else:

We may restrict or block access, remove content, and pursue any legal remedy if you break these rules. Not enforcing a rule once doesn't waive it.

6. Intellectual Property

The newsletter, website text, design, logos, the name "SMB-excel," and our other content are owned by us or our licensors. You may read it, and forward an individual newsletter issue to a colleague for personal, non-commercial purposes, but you may not republish, sell, or systematically redistribute it. The Tools are licensed separately as described in Section 3. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use it freely.

7. Third-Party Services & Links

The Services rely on and link to third-party providers — our email platform, website host, and any external sites, sources, or platforms we or the Tools reference. They operate under their own terms and privacy policies. We don't control them, don't endorse them merely by linking, and aren't responsible for their content, availability, security, or practices.

8. Disclaimers & Limitation of Liability

The Services and all Tools and content are provided "as is" and "as available," with all faults and without warranty of any kind. To the fullest extent permitted by law, SMB-excel disclaims all warranties, express, implied, or statutory — including merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. We do not warrant that the Services or Tools will be uninterrupted, secure, error-free, or that any output, estimate, or result will be accurate or reliable.

To the fullest extent permitted by law, SMB-excel and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, revenue, data, goodwill, or anticipated savings, arising out of or relating to the Services, the Tools, or any content — whether in contract, tort, or any other theory, and whether or not we were advised such damages were possible. Our total aggregate liability arising out of or relating to the Services will not exceed one hundred U.S. dollars (USD $100.00). You acknowledge the Services and Tools are provided free of charge and that this allocation of risk reflects that.

Some jurisdictions don't allow certain exclusions, so parts of this section may not apply to you; in that case our liability is limited to the maximum extent the law permits. Nothing here excludes liability that can't lawfully be excluded.

9. Indemnification

You agree to defend, indemnify, and hold harmless SMB-excel and its owners, employees, and contractors from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use or misuse of the Services or the Tools; your violation of these Terms; or your violation of any law or third-party right — including, for any scraper or data-collection Tool, any third party's terms of service, intellectual property, database, contract, or privacy rights. We may assume the exclusive defense of any such matter at our expense, and you agree to cooperate.

This describes how we handle personal information collected through the Services.

How we use and share it

We use it to send the newsletter you signed up for, to operate and improve the website and Tools, to respond to you, to keep the Services secure, and to comply with the law. We do not sell your personal information and do not rent or trade your email address. We share it only with service providers who help us run the Services (such as our email platform and host) and who may use it only for that; when required by law or to protect rights and safety; and in connection with a merger, acquisition, or sale of assets.

Retention & security

We keep your information as long as needed for the purposes above — your email stays on our list until you unsubscribe or ask us to delete it. We use reasonable safeguards, but no method of transmission or storage is completely secure, and we can't guarantee absolute security.

Cookies

The website may use cookies for essential functionality and analytics, and our emails may include standard open/click tracking from our email platform. Most browsers let you refuse cookies; where the law requires it, we'll ask consent for non-essential cookies first.

11. Your Privacy Rights

Depending on where you live, you may have rights to access, correct, or delete your personal information, or to opt out of certain processing — and you won't be discriminated against for exercising them. To make a request, contact us using Section 14; we may need to verify your identity. Because we have subscribers outside the United States, note that we process and store information in the U.S., where data-protection laws may differ from those where you live; by using the Services you consent to that transfer. If you're covered by the EU/UK GDPR, you also have rights to object to or restrict processing, to data portability, to withdraw consent at any time (for our emails, just unsubscribe), and to complain to your local data-protection authority. Our basis for emailing you is your consent; for the rest, our legitimate interest in running the Services.

12. Changes to These Terms

We may update these Terms from time to time. We'll revise the "Last updated" date above; material changes take effect when posted, and continued use after that means you accept them. If you don't agree to a change, stop using the Services and unsubscribe if you wish.

13. Governing Law & General

These Terms are governed by the laws of the State of Maryland, United States, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Maryland, on an individual basis — you waive any right to a class or representative action — and any claim must be brought within one (1) year of arising, except where the law forbids that limit. If any provision is unenforceable, the rest stays in effect. Our failure to enforce a provision isn't a waiver. You may not assign these Terms; we may. Nothing here creates a partnership, agency, or employment relationship. We're not liable for delays caused by events beyond our reasonable control. The sections on the Tools, disclaimers, limitation of liability, indemnification, and intellectual property survive termination. These Terms are the entire agreement between you and SMB-excel regarding the Services.
